Appointment of the Management Board of Budimex SA

The Management Board of Budimex SA announces that during the evening of 12 March this year, the Supervisory Board of Budimex SA, at the request of the President of the Board and CEO of Budimex SA, appointed for the period of the eighth common cadence covering the years 2014, 2015 and 2016, the Management Board composed of:

Ignacio Botella Rodriguez – Vice-President of the Management Board
Andrzej Artur Czynczyk – Member of the Management Board
Jacek Daniewski – Member of the Management Board
Henryk Urbański – Member of the Management Board
Marcin Węgłowski – Member of the Management Board

The eighth cadence of the Board ceases on the day of the Ordinary General Meeting of Budimex S.A. when the financial statements for 2016 will be approved. The above-mentioned resolution of the Supervisory Board of Budimex SA will enter into force on the day of the Ordinary General Meeting of Budimex SA in 2014 and obtaining by the above-mentioned persons the discharge for performing the duties of Member of the Board in 2013.

Ignacio Botella Rodriquez graduated from the Technical University of Madrid in 1992 with the degree of Roads, Canals and Ports Engineer. His professional career has been connected with companies from the Ferrovial Group since May 1993. Between 1993 and 1997 he was Site Manager and Contract Manager at Ferrovial. Subsequently, from 1997 to 2000 he was Contract Manager and Head of Division for the foreign markets: Tunisia and Italy. 2000–2004: Contract Director for the Guadarrama Tunnel (the longest tunnel in Spain). Since 2004 he has been the director for the Italian market.

Andrzej Artur Czynczyk, a sociologist, is a graduate of the Institute of Social Prevention and Resocialisation at the University of Warsaw and the Management of Healthcare Organisation’s postgraduate studies at the Warsaw School of Economics.
Between 1993 and 1995, Mr Czynczyk was the director of ABB (Asea Brown Boveri) Management Development Center, later promoted to the position of Personnel Director, ABB Polska. 1998-1999: he was Human Resources Director responsible for resources in Eastern Europe and Russia at Lucent Technologies Polska. 1999-2002: Human Resources Director in Elektrim SA. Between 2004 and 2005 he served as Human Resources Director for Central and Eastern Europe at Honeywell. 2005-2007: Human Resources Director for Europe, Middle East and Africa at Honeywell Process Solutions based in Brussels. From 2007, he served as Vice-President responsible for Human Resources at the headquarters of Honeywell Process Solutions in the United States. Between 2010 and 2011, he was a vice president responsible for human resources management at the Recall Corporation in the USA. Since May 2012: Member of the Management Board, Human Resources Manager.
Andrzej Artur Czynczyk is not engaged in any competitive activity relative to the activities of Budimex S.A., neither does he participate in a competitive company as a partner in a personal partnership or as a shareholder in a capital company or as a member of the body of any other competitive legal entity.

Jacek Daniewski graduated from the University of Warsaw. Entered on the list of legal counsels in Warsaw in 1978. 1978–1990: employed at Polimex-Cekop Sp. z o.o. as a trade clerk and legal clerk, and as a legal counsel between 1983 and 1990. 1987–1990: temporarily seconded to Iraq as a trade agent of Polimex-Cekop. Since 1986 also employed at Budimex Dromex as a legal counsel; coordinator of the legal counsel team at Budimex Dromex from 1996 until its structure was transformed. In December 2001 he became a legal counsel at Budimex SA, and Deputy Chief Legal Officer in 2002. In December 2003, he was promoted to the position of CLO, and also became a Member of the Management Board of Budimex Dromex SA. Since January 2007 Chief Legal Officer, and since March 2007 also Member of the Management Board of Budimex SA.

Henryk Urbański graduated from the Department of Precision Mechanics of the Warsaw University of Technology and from the Department of Foreign Trade of the University of Social Sciences. He also completed Post-Graduate Studies in the field of Value-Based Management at the Warsaw School of Economics. He was employed at Budimex between 1979 and 1992, performing such functions as Deputy Director of the office responsible for the Middle Eastern market. Between 1993 and 1996 he was Director of Expansion at Makro Cash and Carry, responsible for the development of the sales network in Poland. 1996–1998: Development Director at Praktiker Polska, within the Metro Group. Between 1998 and 2000 he was President of the Management Board at Ahold Polska Real Estate, as well as Member of the Management Board of Ahold Polska responsible for the development of the company's store network in Poland. In 2001, he became President of the Management Board at Budimex Nieruchomości, where he has been expanding the real estate development activity, as well as carrying out restructuring with regard to real estate management, according to the strategy adopted by the Budimex Group.
Henryk Urbański is not engaged in any competitive activity relative to the activities of Budimex SA, neither does he participate in a competitive company as a partner in a personal partnership or as a shareholder in a capital company or as a member of the body of any other competitive legal entity.

Marcin Węgłowski graduated from the Department of Production Economics of the Warsaw School of Economics. In 1991, while he was still studying, he started his professional career at the Polish Ministry of Finance. Between 1992 and 1993 he was employed as an auditor at BDO Binder Sp. z o.o. From 1993 to 1997 he worked at British-American Tobacco Group Poland. 1997–1999: Financial Director and Member of the Management Board at Delphi Automotive Systems Poland. From June 1999 to January 2001: Head of Finance and Vice-President of the Management Board of the OPTIMUS joint stock company. He has been Member of the Management Board and Chief Financial Officer of Budimex SA since January 2001.
