Merger of Budimex SA with Budimex Auto - Park Sp. z o.o.

With regard to reports 20/2010, 23/2010 and 29/2010 the Management Board of Budimex SA reports that on June 29, 2010 became aware of the registration on June 23, 2010 by the District Court for the capital city of Warsaw, 12th Commercial Division of the National Court Register, of a merger of the company Budimex SA with Budimex Auto - Park Sp. z o.o. under Article 492 (1) (1) of the Commercial Companies Code, whereby Budimex SA acts as the acquiring company in relation to Budimex Auto-Park Sp. z o.o. being the acquired company, according to Resolution no. 156 of the General Meeting of Shareholders of Budimex SA dated May 19, 2010 (REP. A No. 5306/2010) and Resolution no. 1 of the Extraordinary General Meeting of Shareholders of Budimex Auto - Park Sp. z o.o.
 
Budimex S.A. with the registered office in Warsaw at ul. Stawki 40 (the acquiring company) is a public company as defined in the Act of July 29, 2005 on Public Offering and Conditions Governing the Introduction of Financial Instruments to Organised Trading and Public Companies (Dziennik Ustaw [Journal of Laws] no. 184 item 1539 as amended) entered into the Register of Entrepreneurs maintained by the District Court for the capital city of Warsaw in Warsaw, 12th Commercial Division of the National Court Register under the National Court Register (KRS) no. 0000001764 with the share capital of PLN 127,650,490.00 (in words: one hundred and twenty-seven million, six hundred and fifty thousand, four hundred and ninety zloty) wholly paid-up.

Budimex Auto - Park Sp. z o.o. with the registered office in Warsaw at ul. Stawki 40 (the acquired company) entered into the Register of Entrepreneurs maintained by the District Court for the capital city of Warsaw in Warsaw, 12th Commercial Division of the National Court Register under the National Court Register (KRS) no. 0000048276 with the share capital of PLN 13,251,000.00 (in words: thirteen million, two hundred and fifty-one thousand zloty) fully paid-up. All shares are held by the acquiring company - Budimex SA as the sole shareholder.
